Affiliate Program Terms

1. What This Agreement Covers

These terms govern your participation in the Picta affiliate program, operated by OGR Group Ltd ("we", "us", "our") trading as Picta / LumaGrid. By applying to the program, you ("you", "the affiliate") agree to these terms.

We may update these terms at any time. We will email you if we make material changes. Continued participation after notice constitutes acceptance.

2. Your Relationship With Us

You are an independent contractor, not an employee, worker, agent, or partner of OGR Group Ltd. Nothing in this agreement creates an employment or agency relationship.

We will not provide you with equipment, set your working hours, or direct how you promote Picta beyond the rules in this agreement.

3. How the Program Works

3.1 Referral link

Once approved, you receive a unique referral link and code. When a customer books an event through your link, you earn commission on that booking.

3.2 Commission rates

Your commission rate is set by the band you are assigned to (visible in your dashboard). We may offer a different rate by individual agreement. Commission rates may change — we will notify you before any change takes effect, and the rate applied to a booking is always the rate in force at the time the booking is confirmed.

Commission is earned when a customer completes payment through your referral link. Commission is not earned on:

We use automated systems to detect and prevent referral abuse, including email matching, alias detection, and pattern analysis. If our system identifies a self-referral or other prohibited use:

We are not obligated to notify you when an automated check removes a referral code. If you believe a referral was incorrectly blocked, contact accounts@lumagrid.uk.

3.5 Payout

Payouts are made manually by bank transfer. There is no automated payout schedule. We aim to pay earned commissions within 30 days of marking them as due, but this is not guaranteed. Minimum payout threshold: £10. Commissions below this threshold accumulate until the threshold is met.

To receive payment, you must provide valid UK bank account details (sort code and account number) via your affiliate dashboard. We cannot pay commissions without valid payment details.

4. How You May (and May Not) Promote Picta

Under the UK Advertising Standards Authority (ASA) CAP Code and consumer protection law, you must clearly disclose your commercial relationship with Picta whenever you promote it. This means:

Bank account details are encrypted at rest using AES-256-GCM and are only used to process your commission payments. They are never shared with third parties except our payment processing bank.

Retention: We retain your data for as long as you are an active affiliate, plus 6 years after the end of your participation (to meet HMRC record-keeping requirements). You may request deletion of your account and data at any time by emailing accounts@lumagrid.uk, subject to our legal retention obligations.

Your rights: Under UK GDPR, you have the right to access, correct, or delete your personal data, and to object to or restrict processing. Contact accounts@lumagrid.uk or legal@lumagrid.uk.

6. Suspension and Termination

6.1 By you

You may leave the program at any time by emailing accounts@lumagrid.uk. Earned unpaid commissions above the minimum threshold will still be paid.

6.2 By us

We may suspend or terminate your participation at any time, for any reason, by emailing you. Reasons include (but are not limited to):

On termination, your referral link is deactivated immediately. Earned unpaid commissions above the minimum threshold will be paid within 30 days. Below-threshold balances are forfeited on termination.

6.3 Consequences of fraud or abuse

If we terminate your participation due to fraud, self-referral abuse, collusion, or deliberate manipulation of the referral system:

Our total liability to you under this agreement is limited to the commission amounts actually owed to you. We are not liable for lost referrals, technical issues with referral tracking, or any indirect or consequential loss.

We do not guarantee that the affiliate program will continue indefinitely. We may modify or discontinue the program at any time with reasonable notice.

8. Governing Law

This agreement is governed by the laws of England and Wales. Any disputes will be subject to the exclusive jurisdiction of the courts of England and Wales.
