Affiliate Program Terms

1. What This Agreement Covers

These terms govern your participation in the Picta affiliate program, operated by OGR Group Ltd ("we", "us", "our") trading as Picta / LumaGrid. By applying to the program, you ("you", "the affiliate") agree to these terms.

We may update these terms at any time. We will email you if we make material changes. Continued participation after notice constitutes acceptance.

2. Your Relationship With Us

You are an independent contractor, not an employee, worker, agent, or partner of OGR Group Ltd. Nothing in this agreement creates an employment or agency relationship.

You are responsible for:

• Your own tax obligations — including self-assessment, National Insurance (if applicable), and VAT registration if your turnover exceeds the threshold. We do not deduct tax from commission payments.
• Your own business insurance (if applicable to your activities).
• Complying with all applicable laws in your promotion of Picta.

We will not provide you with equipment, set your working hours, or direct how you promote Picta beyond the rules in this agreement.

3. How the Program Works

3.1 Referral link

Once approved, you receive a unique referral link and code. When a customer books an event through your link, you earn commission on that booking.

3.2 Commission rates

Your commission rate is set by the band you are assigned to (visible in your dashboard). We may offer a different rate by individual agreement. Commission rates may change — we will notify you before any change takes effect, and the rate applied to a booking is always the rate in force at the time the booking is confirmed.

3.3 When commission is earned

Commission is earned when a customer completes payment through your referral link. Commission is not earned on:

• Bookings that are fully refunded
• Bookings subject to a chargeback that we lose
• Bookings made by you, your household, family members, or your own business (self-referral)
• Bookings made using any email address you control, including aliases (e.g. yourname+tag@gmail.com), alternative addresses, or addresses with dots added or removed
• Bookings made by another affiliate using your referral code (cross-referral)
• Bookings where the referral was not the primary cause of the sale (we decide this reasonably)
• Bookings generated through any form of artificial, manipulated, or incentivised traffic

3.4 Automated abuse detection

We use automated systems to detect and prevent referral abuse, including email matching, alias detection, and pattern analysis. If our system identifies a self-referral or other prohibited use:

• The referral code is silently removed from the booking — the customer's booking proceeds normally, but no commission is recorded
• The attempt is logged for review
• Repeated attempts may result in suspension or termination (see §6)

We are not obligated to notify you when an automated check removes a referral code. If you believe a referral was incorrectly blocked, contact accounts@lumagrid.uk.

3.5 Payout

Payouts are made manually by bank transfer. There is no automated payout schedule. We aim to pay earned commissions within 30 days of marking them as due, but this is not guaranteed. Minimum payout threshold: £10. Commissions below this threshold accumulate until the threshold is met.

To receive payment, you must provide valid UK bank account details (sort code and account number) via your affiliate dashboard. We cannot pay commissions without valid payment details.

4. How You May (and May Not) Promote Picta

4.1 Permitted

• Sharing your referral link on your own website, social media, email newsletters, or in conversation
• Describing Picta's services accurately
• Using any materials we provide for affiliate use

4.2 Required — advertising disclosure

Under the UK Advertising Standards Authority (ASA) CAP Code and consumer protection law, you must clearly disclose your commercial relationship with Picta whenever you promote it. This means:

• Social media posts must include #ad or #affiliate (or equivalent clear disclosure)
• Blog posts and website content must state that you earn commission on referrals
• Email recommendations must disclose the affiliate relationship

Failure to disclose is a breach of these terms and may expose both you and us to regulatory action.

4.3 Prohibited

You must not:

• Make false, misleading, or exaggerated claims about Picta or its services
• Send unsolicited bulk email (spam) using your referral link
• Use paid search ads (Google Ads, Bing Ads, etc.) that bid on "Picta", "LumaGrid", or our other brand names without written permission
• Imply that you are an employee or official representative of Picta or LumaGrid
• Use your referral link to refer your own bookings, those of your household, family, friends, or close associates (self-referral)
• Use another affiliate's referral code for your own bookings, or arrange for another affiliate to use your code on theirs (cross-referral collusion)
• Create multiple affiliate accounts (including using different email addresses, aliases, or identities)
• Use email aliases, dot variations, or alternative addresses to circumvent automated abuse checks
• Incentivise, pay, or offer kickbacks to others to use your referral code (other than by genuinely recommending the service)
• Promote Picta on websites or platforms containing illegal, adult, hateful, or misleading content
• Use any form of cookie stuffing, click fraud, pop-ups, forced redirects, or technical manipulation to generate artificial referrals
• Sub-license, sell, or transfer your referral code to another person
• Refer bookings for events you are organising, attending, or financially connected to

5. What We Collect and How We Use Your Data

We collect the following personal data as part of your participation:

Bank account details are encrypted at rest using AES-256-GCM and are only used to process your commission payments. They are never shared with third parties except our payment processing bank.

Retention: We retain your data for as long as you are an active affiliate, plus 6 years after the end of your participation (to meet HMRC record-keeping requirements). You may request deletion of your account and data at any time by emailing accounts@lumagrid.uk, subject to our legal retention obligations.

Your rights: Under UK GDPR, you have the right to access, correct, or delete your personal data, and to object to or restrict processing. Contact accounts@lumagrid.uk or legal@lumagrid.uk.

6. Suspension and Termination

6.1 By you

You may leave the program at any time by emailing accounts@lumagrid.uk. Earned unpaid commissions above the minimum threshold will still be paid.

6.2 By us

We may suspend or terminate your participation at any time, for any reason, by emailing you. Reasons include (but are not limited to):

• Breach of these terms
• Fraudulent or misleading promotion
• Self-referral, cross-referral collusion, or any other form of referral manipulation
• Attempting to circumvent automated abuse detection (e.g. using email aliases or multiple accounts)
• Failure to disclose the affiliate relationship as required
• Inactivity (no referrals for 12 consecutive months)

On termination, your referral link is deactivated immediately. Earned unpaid commissions above the minimum threshold will be paid within 30 days. Below-threshold balances are forfeited on termination.

6.3 Consequences of fraud or abuse

If we terminate your participation due to fraud, self-referral abuse, collusion, or deliberate manipulation of the referral system:

• All unpaid commissions are forfeited, regardless of amount or whether they were earned on legitimate referrals
• You are permanently barred from re-applying to the program
• We reserve the right to reclaim commissions already paid that were earned through fraudulent activity, by any lawful means including offsetting against amounts owed to you under any other agreement
• We may report serious or persistent fraud to the relevant authorities

7. Liability

Our total liability to you under this agreement is limited to the commission amounts actually owed to you. We are not liable for lost referrals, technical issues with referral tracking, or any indirect or consequential loss.

We do not guarantee that the affiliate program will continue indefinitely. We may modify or discontinue the program at any time with reasonable notice.

8. Governing Law

This agreement is governed by the laws of England and Wales. Any disputes will be subject to the exclusive jurisdiction of the courts of England and Wales.
